Atrium distribution & billing addendum
This addendum, effective from 8th October 2026, applies when your app, or anything bought inside it, is paid for through Atrium. It forms part of your Atrium developer agreement with Company For Life Ltd, trading as COHO (“we”, “us”). Words defined in the Developer agreement mean the same here.
How selling through Atrium works
We buy the right to sell your app from you, and we sell it to customers in our own name. That means:
- the customer’s contract to buy your app is with us, under the Atrium terms;
- the money customers pay is our money, not money held for you;
- we pay you your Developer Share as the price for the right to sell your app;
- we’re not your agent, and we don’t collect money on your behalf.
The customer’s right to use your app still comes from your licence terms, or the Atrium standard app licence.
Prices
You choose the price of your app, using one of the pricing models Atrium supports:
- a flat monthly price;
- a monthly price per active unit, with an optional minimum;
- a monthly price by band of active units, with a price for each band.
You can also offer a free trial of a set number of days. Active units are measured from our own records of the customer’s account, so you never need to report usage to us.
One-off purchases and purchases inside your app aren’t available yet. We’ll tell you when they are, and until then your app must not offer them.
Billing customers
We bill customers, collect payment by card through Stripe, and deal with failed payments, using our own processes. We decide whether, and when, to chase unpaid invoices or suspend a customer’s access.
Customers are charged by calendar month, in advance, as set out in the Atrium Terms:
- if a customer installs your app on or before the 15th of a month, we charge them for that month at install;
- if they install it after the 15th, the rest of that month is free to them, and we first charge them on the 1st of the next month;
- after that, we charge them on the 1st of each month for the month ahead, until they uninstall;
- when a free trial ends, the same rule applies from that date;
- per-unit and banded prices use the customer’s active units when we raise the invoice.
You don’t receive a Developer Share for any part of a month we don’t charge the customer for, such as the rest of a month after a late install.
Everything bought inside your app must go through our billing and entitlements API, as set out in the Atrium developer agreement.
Your Developer Share
For each calendar month, your Developer Share is:
Your revenue share percentage × Net Receipts
Your revenue share percentage is 80%, unless your Commercial Schedule says otherwise.
Net Receipts are the amounts we actually receive from customers in that month for your app and anything bought inside it, after deducting:
- VAT;
- refunds and credits given to customers, as set out under “Refunds and chargebacks” below;
- chargebacks and reversed payments.
Card processing fees are paid by us out of our share. They aren’t deducted from Net Receipts.
We only pay you on money we’ve actually received. If a customer doesn’t pay, there’s nothing for us to share, and you have no claim against us for it.
Statements and payment
- Within 10 working days of the end of each month, we’ll make a statement available to you, showing Net Receipts and your Developer Share for that month.
- We pay your Developer Share, less any amounts you owe us, by bank transfer within 30 days of the end of the month.
- If the amount due is under £50, we’ll carry it forward to the next month. We’ll pay any balance when this addendum ends, whatever the amount.
- We pay in pounds sterling to the UK bank account in your developer account. If you ask us to pay an account outside the UK, any bank charges come out of the payment.
If you think a statement is wrong, tell us within 60 days of receiving it, with your reasons. After that, the statement is final, unless there’s been fraud or an obvious error.
Invoicing and VAT
Your Developer Share is the price of a supply you make to us. How that’s documented depends on your VAT status:
- UK VAT-registered: after each statement, send us a VAT invoice addressed to Company For Life Ltd, for the Developer Share on the statement plus VAT. Your invoice must match the statement. We’ll pay within 30 days of the end of the month, or within 10 days of receiving a valid invoice, if that’s later.
- Not VAT-registered: no invoice is needed. We’ll pay against the statement.
- Based outside the UK: send us an invoice without UK VAT. We’ll account for any UK VAT under the reverse charge.
You must tell us straight away if your VAT status changes.
We may switch to self-billing, where we raise the VAT invoice for you, by giving you 30 days’ notice. If we do, the self-billing terms at the end of this addendum apply.
Refunds and chargebacks
We decide whether to give a customer a refund or credit.
We’ll deduct a refund or credit from Net Receipts, so that it reduces your Developer Share, if:
- the customer asks for it within 14 days of being charged;
- your app is faulty, or doesn’t work as described on its listing, whenever the customer asks;
- we credit the customer because we’ve removed or suspended your app for a reason under the Developer Agreement, such as a breach, a security risk caused by your app, or you stopping support;
- you agree to it.
Any other refund or credit we choose to give is paid by us, out of our share.
Chargebacks and reversed payments are always deducted from Net Receipts, whenever they happen.
Amounts you owe us
We may set off against your Developer Share anything you owe us, including:
- refunds, credits and chargebacks relating to Developer Share we’ve already paid you;
- hosting charges under the Hosting Addendum;
- your developer fee, if it’s unpaid;
- any amount you owe us under the Developer Agreement.
If what you owe us is more than your Developer Share for a month, we’ll carry the balance forward. If it’s still outstanding after 60 days, we’ll invoice you and you must pay within 30 days.
Holding back payments
We may hold back all or part of a payment to you if:
- our checks on you aren’t complete, or have raised a concern;
- we reasonably suspect fraud, or a breach of the Developer Agreement;
- your app is suspended;
- a customer has made, or is likely to make, a significant claim about your app.
We’ll tell you why, and pay you once the reason has been resolved, after deducting anything you owe us.
Your taxes
You’re responsible for your own income tax, corporation tax and any other taxes on your Developer Share. We’re responsible for the VAT on our sales to customers.
When this addendum ends
This addendum ends when the Developer Agreement ends, or when none of your apps are paid for through Atrium.
When it ends:
- we’ll stop selling your app, and customers’ subscriptions to it will end, as set out in the Developer Agreement and the Atrium Terms;
- we’ll send a final statement 90 days after it ends, to allow for late payments, refunds and chargebacks, and pay any balance due;
- the sections on refunds and chargebacks, amounts you owe us, holding back payments and your taxes continue to apply.
Self-billing terms
These terms apply only if we’ve given you notice that we’re switching to self-billing.
- We’ll raise a VAT invoice for each supply you make to us under this addendum, on your behalf, marked “self-billing”. It will state: “The VAT shown is your output tax due to HMRC.”
- You agree not to issue your own VAT invoices for those supplies, and to accept each self-billed invoice we raise.
- You must tell us straight away if you stop being VAT-registered, change your VAT number, or transfer your business.
- These terms last for 12 months from the date of our notice, and renew for further 12-month periods unless either of us gives notice to end them. We’ll check your VAT registration at each renewal.
